Tax & ERISA

Overview

Sadis’ Tax & ERISA team has extensive experience and a comprehensive perspective on federal, state, local, and international tax matters. We provide strategic tax planning and compliance advice to businesses, investment funds, and individuals, helping clients navigate complex regulations and transactions. Our attorneys assist with everything from entity structuring and cross-border investments to resolving tax disputes with authorities, offering full-spectrum support that positions Sadis as a trusted tax law firm partner.

Tax Planning & Advisory Services

Our tax attorneys deliver proactive counsel to minimize tax liabilities and ensure compliance at every level. The team advises on cross-border transactions through our International Tax practice and structures private fund vehicles via our Investment Funds tax group.

We guide clients through the tax aspects of corporate deals, whether structuring mergers and acquisitions or optimizing real estate transactions. For high-net-worth individuals and family offices, we provide personal tax and estate planning counsel, crafting strategies to preserve wealth across generations.

We also represent clients in audits, negotiations, and other tax controversies with the IRS or state tax authorities, advocating to protect their interests in disputes. In all these areas, Sadis offers the sophisticated, solution-oriented approach that business clients expect from an experienced tax adviser.

ERISA & Employee Benefits

In addition to tax planning, Sadis offers robust counsel on ERISA and employee benefit matters. (The Employee Retirement Income Security Act of 1974, or ERISA, is the federal law governing most private-sector retirement and health plans.) Our ERISA attorneys – often called employee benefits attorneys – assist employers in designing and operating benefit plans that meet legal requirements and serve workforce needs.

We advise businesses and pension plan trustees on establishing and maintaining a variety of retirement plans (both qualified and non-qualified), as well as equity compensation arrangements. The team works closely with clients on executive compensation programs, ensuring incentive plans comply with ERISA’s fiduciary standards and tax regulations. We guide plan fiduciaries through their responsibilities and help plan participants (such as executives or employees) understand their benefit options, thereby reducing the risk of disputes. If conflicts do arise, we are prepared to represent clients in ERISA litigation or benefits disputes, leveraging our deep knowledge of ERISA regulations to resolve issues efficiently.

Our ERISA-related services include:

  • Plan establishment and amendment – Creating new retirement and welfare plans or updating existing plans (including complex multi-benefit structures).
  • Ongoing compliance – Ensuring all types of benefit plans remain compliant with ERISA, IRS, and Department of Labor requirements through regular monitoring and advice.
  • M&A and transactions – Advising on pension and other employee benefit issues that arise during mergers, acquisitions, and other corporate transactions (e.g. plan mergers, terminations, or integrating benefits for acquired employees).
  • Fiduciary counseling – Counseling employers, plan administrators, and financial institutions on their fiduciary duties under ERISA and strategies to fulfill those duties while minimizing liability.
  • ERISA-related tax planning – Structuring benefit programs and business transactions to account for ERISA rules and optimize tax outcomes for the company.
  • Benefit and estate planning – Coordinating retirement benefits with personal estate planning to minimize tax burdens and ensure intended beneficiaries are provided for.

What Does a Tax Lawyer Do?

Tax attorneys are legal professionals specializing in the complex world of tax law. In practice, Sadis’ tax attorneys help clients structure transactions in tax-efficient ways, interpret and comply with ever-changing tax regulations, and serve as advocates in dealings with tax authorities. For example, we advise on tax strategies for business formations and investments, identify opportunities for credits or incentives, and ensure clients meet all filing and reporting obligations. A tax lawyer is also your defender in contentious matters – if you face an IRS audit, investigation, or litigation in Tax Court, our attorneys will develop your defense, manage communications with the government, and work toward the best possible resolution. In short, tax attorneys combine advanced knowledge of the tax code with legal advocacy skills to protect your interests and find savings or solutions that non-specialists might miss.

When Should You Hire a Tax Attorney or ERISA Lawyer?

You should consider hiring a tax attorney whenever you encounter a significant or complex tax situation beyond routine filing. Common scenarios include: major business transactions (e.g. selling a company, launching a fund, cross-border deals) where upfront tax planning can save substantial costs; IRS or state tax disputes such as audits, notices of deficiency, or collection actions, where having a lawyer can prevent costly mistakes and negotiate on your behalf; questions of tax law interpretation (for instance, how new tax legislation affects your business); and executive compensation or estate planning decisions that carry tax consequences. Essentially, if the financial stakes are high or the law is unclear, a seasoned tax attorney is invaluable. By engaging Sadis’ tax counsel at the right time, clients avoid pitfalls, stay in compliance, and often achieve more favorable tax outcomes than they could on their own. Even if you’re unsure, an initial consultation can determine if legal tax advice is warranted for your situation.
