Businessmen Practicing Law

“At Sadis & Goldberg, we practice law … but we live business.”

– Ron S. Geffner, Head, Financial Services Practice

Recognized by Lipper HedgeWorld and Alpha Awards in 2008 as one of the top five law firms in the U.S. for its hedge

fund practice, New York-based Sadis & Goldberg LLP represents several hundred investment advisers and related entities, including

hedge funds, private equity funds and venture capital funds, and provides regulatory and compliance advice and representation

in connection with SEC enforcement proceedings. In fact, it has led over 600 hedge funds and other investment funds to

success. The firm also provides a full range of sophisticated legal services, including tax, litigation, regulatory, real estate, public

finance, intellectual property and corporate services, to national and international businesses.

Sadis & Goldberg was founded in 1997 by several prominent attorneys committed to excellence in the practice of law and devoted

to developing strong client relationships. The outstanding talent of its attorneys and the intimacy of their relationships with

their clients is still the heart of the firm. The senior attorneys are comprised of former SEC enforcement lawyers and seasoned

attorneys who started their careers at major law firms. All have vast levels of training and proven track records of professionalism,

skill and diligence.

Strength in the Alternative Investment Community

Although 2008 was a difficult year for the world economy, Sadis & Goldberg experienced strong performance across all practice

areas. In fact, the firm expanded its Litigation and Regulatory practices in preparation for the turbulence and the growing constraints

on economic activity following the collapse of Bear Stearns and Lehman Brothers and the revelation of the Madoff fraud. In

addition, as many of the firm’s clients underwent restructuring, the Financial Services Practice was expanded to include Alternative

Investment Due Diligence. The practice is now able to perform necessary due diligence of all facets of a fund’s operations, management

and investment strategy; its full suite of products includes document review, formation analysis, assessments, policy and

procedures review, service provider review, corporate governance review, onsite visits, negotiation of side agreements, background

checks and asset verification, and portfolio review.

Shareholder Activism and Corporate Governance

Over the years, Sadis & Goldberg has developed a highly effective corporate governance and shareholder activism practice

that regularly counsels clients on legal issues ranging from corporate governance principles and fiduciary duty law to derivative

actions, M&A litigation and appraisal rights proceedings.

Tradition of Public Service

Sadis & Goldberg has a tradition of public service, and several of the partners hold leadership positions in professional

organizations. Ron S. Geffner, for example, is a director of the Hedge Fund Association, which represents hedge fund professionals

and service providers and serves as an advocate for the industry. He also serves on the board of Hedge Funds Care, a

charity that raises funds and awareness to prevent and treat child abuse. Roger Lorence is co-chair of the Hedge Fund Forum

sponsored by the Center for Professional Education, which provides cutting-edge professional education programs for financial,

accounting and legal professionals nationwide. In addition, Steven Huttler is a member of the Life Insurance Settlement

Association and Charles H. Dufresne, Jr. sits on the board of the National Association of State Treasurers.

“At Sadis & Goldberg, we see ourselves as businessmen practicing law,” Geffner says. “We actively involve ourselves with

our clients’ businesses, and often assist them in the development of their businesses".
